Job Responsibilities:

• Lead and manage the full legal process for company sale / share transfer / business acquisition (including due diligence, drafting & negotiation of Share Sale & Purchase Agreement (SSPA), LOI/MOU, completion documents).
• Conduct legal due diligence on target companies (review statutory records, contracts, litigation, compliance, RBO, charges, etc.).
• Prepare and review all transaction documents: Share Transfer Form, Board Resolutions, Shareholder Resolutions, Indemnity Agreements, Non-Compete Clauses, etc.
• Handle stamp duty (LHDN e-Stamping), SSM filings (change in shareholders/directors, RBO update), and post-completion compliance.
• Liaise with company secretaries, accountants, tax advisors, and buyers/sellers throughout the transaction.
• Ensure full compliance with Companies Act 2016, Stamp Act, and other relevant laws.
• Provide legal advice on structuring deals (share sale vs asset sale), tax implications (CGT, stamp duty exemptions), and risk mitigation.
• Support other corporate legal matters as needed (contracts, shareholder agreements, restructuring).

Requirements:

• Qualified lawyer with valid practicing certificate in Malaysia (at least 4-8 years PQE, preferably with corporate/M&A experience).
• Proven hands-on experience in company sale, share transfer, business acquisition, or M&A transactions (must have handled at least 5-10 full company sale deals).
• Strong knowledge of Companies Act 2016, stamp duty rules, SSM procedures, and LHDN requirements for share transfers.
• Excellent drafting, negotiation, and due diligence skills.
• Fluent in English (written & spoken); Mandarin is a strong advantage (for dealing with Chinese buyers/investors).
• Detail-oriented, able to work under tight deadlines, high integrity and confidentiality.
• Experience in law firm or in-house corporate legal team preferred.
